The Transaction
GO.PL is a Polish technology company operating in the adtech sector. Our role was to identify strategically aligned buyers—both domestic and international technology players—and to manage the entire negotiation process in accordance with M&A transaction standards.
The principal challenge was that virtually all knowledge of the platform’s proprietary mechanisms resided with our client. We needed to structure the transaction—including an appropriate earn-out mechanism—to ensure both parties achieved their objectives: enabling the founder to transition to other ventures within a defined timeframe, while giving the acquirer confidence in the complete transfer of know-how.
The shares were acquired by WP Holding (Wirtualna Polska Group) a listed company, which recognized the strategic value of integrating the solution into its ecosystem and supporting its international expansion ambitions.
